| Simon is head of Corporate Finance
at Charles Russell. He qualified in 1983 and joined
Charles Russell in 1989. He advises on public and
private company work for UK and international clients,
specialising in international and domestic IPOs,
secondary issues and private placings, the City
Code; domestic and cross border mergers, acquisitions
and disposals (public and private), private equity
and UK aspects of listings, offerings and corporate
transactions involving non-UK exchanges and regulatory

& Partners ranks Simon as a leading individual
in Corporate Finance and notes that he combines
client-handling skills with technical excellence.

| Clive qualified in 1994 and joined
Charles Russell in the same year. He specialises
in corporate finance and advises corporates and
intermediaries on both public and private offerings
of securities as well as mergers and acquisitions
(including advice on the City Code). Before becoming
a partner in 2001, Clive was an advisor in the Equity
Markets Group of the London Stock Exchange, advising
on a wide range of corporate transactions. |

| Alexander qualified in 1998 and joined
Charles Russell in 2001. Alexander is a corporate
lawyer specialising in listings and offerings on
the Official List, AIM and OFEX and mergers and
acquisitions. He advises clients on regulatory issues
relating to securities including under the Financial
Services and Markets Act 2000. Whilst at Charles
Russell he has been involved in a number of Class
1 acquisitions and disposals as well as a number
of admissions to and placings on AIM, including
fast-track admissions. He also has experience of
venture capital investments, management buy-outs
and buy-ins and joint ventures. |

| Peter qualified in 1977 and re-joined
Charles Russell in 2004, following an extended period
as a general counsel within two major PLCs, and
a period in corporate private practice in Oxford.
He specialises in corporate law; mergers and acquisitions
and corporate finance. He had broad experience of
cross-border and capital transactions, within listed
plcs and also has significant experience of venture
capital structuring for high technology growth companies. |

| Francis qualified in 1975, joined
Charles Russell in 1978 and became a partner in
1981. His practice covers a wide spectrum of company/commercial
work with the accent on mergers and acquisitions;
both public and private; loan and capital financing
and flotations. Chambers & Partners 2007 describes
him as enjoying "a reputation as 'king of the
castle' and an 'extremely able and sound practitioner'"
and was described by Legal 500 2006 as one of a
"trio of recommended corporate partners [at
Charles Russell's Cheltenham Office] who, between
them, completed more than 30 deals worth over £300m
in 2005. Rundall's advice to Montepellier Group
as vendor on the £42m MBO of Bullock Construction

| Adrian is a Partner in the corporate
finance group at Charles Russell. He joined Charles
Russell in September 2002 having qualified and gained
over four years post qualification corporate and
corporate finance experience an international city
law firm. He has advised on public takeover offers
(including securities exchange offers), mergers
and public securities work, including initial public
offerings, secondary listings and placings. This
work has often had a cross jurisdictional element.
Adrian has advised on inital public offerings on
the London Stock Exchange and on AIM. Most recently
he has advised Bema Gold Corporation and PKL Group
plc on their admissions to AIM. Adrian has worked
for clients in several different jurisdictions,
including the United States, Canada, various European
countries, the Caribbean, Africa and parts of Asia.
Most recently, Adrian had advised a Canadian client
on a convertible bond issue in Luxembourg, a UK
client on a private equity transaction in West Africa
(Nigeria) for the development of a shopping complex
and also advised on financing and security arrangements
for a British Virgin Islands company. |

| Catherine has over 20

She spent 12 years at a major City firm before joining
the Thames Valley office of a national firm. She
moved to Charles Russell in 2004. Catherine has

| James is the head of Charles
Russell's Cambridge Corporate team. He advises a

Russell, James worked at Baker & McKenzie's

| Will spent five years at City law
firm Clifford Chance before moving in-house to Vodafone
Group Plc as a corporate solicitor where he mainly
worked on high-profile M&A transactions. Will
is a corporate law specialist and has wide experience

joint ventures and capital markets work (with an
emphasis on AIM transactions). He also advises on

| Mark joined Charles Russell
in February 2005 from Slaughter and May where he
qualified in September 2000. Mark has worked on
a broad range of corporate finance transactions
with private and publicly quoted companies including
many with a cross border element. He has advised
on private acquisitions and disposals, public takeovers,
initial and secondary public offerings, joint ventures,
outsourcings, debt issuance programmes and private
equity investments. Mark has also advised on general

| Adam qualified at Charles
Russell in September 2003 and works in the corporate
finance group, where he has advised on a range of
transactions, including both IPOs and public and
private M&A, but with a particular emphasis
on transactions on the equity capital markets. Adam
has worked on a variety of Official List and AIM
transactions, acting both for banks/brokers and
issuers, including IPOs, fast-track listings, secondary
placings and reverse takeovers, and involving companies
across a range of sectors, including mining, oil
and gas and technology. Adam spent the first half
of 2006 on secondment to the London office of Canaccord
Adams, working as a corporate finance adviser to
a number of AIM companies. |

| Bronwen joined Charles

work. She was seconded to Allen & Overy's Hong
