AIM: Proposals Relating to Regulation S Related Securities - June 2006 - On 26 May 2006 the London Stock Exchange published AIM Notice 19 “Settlement of AIM Reg S Securities and SIS” to inform the AIM market of a proposal regarding the electronic settlement of Regulation S traded securities admitted to AIM. The proposals are set out in more detail in Stock Exchange Notice N31/06, also published on 26 May, which includes proposed amendments to the London Stock Exchange Rules and associated guidance, and are subject to regulatory approval. The proposals involve the introduction of a new settlement system operator, SIS SegaInterSettle AG (“SIS”), which is offering a new service designed to give interested parties greater confidence in their ability to comply with the requirements of Regulation S both when issuing and subsequently trading Regulation S traded securities on AIM.
   
AIM Rules for Companies - March 2006 - The London Stock Exchange plc recently issued guidance to Resource Companies which are admitted to, or are seeking admission to AIM. The Guidance for new applicants includes recommendations that, for each admission of a Resource Company, a competent person’s report (“CPR”) should be prepared, be up to date and be issued by a suitably qualified person. It also recommends that Nominated Advisers (“Nomads”) should carry out site visits and, where the assets are outside the UK, seek legal opinions as to the title to and ownership of the assets.

Briefing Note - Market Abuse Update - July 2005 - As well as introducing the new Prospectus Rules, changes to the FSA Handbook which come into force on 1 July 2005 will implement the Market Abuse Directive through the introduction of new Disclosure Rules. We have prepared a briefing note which summarises some of the key changes to the rules relating to market abuse, including the new requirement for companies which have a listing on a regulated market or are applying for admission to a regulated market to provide the FSA with insider lists. At the end of the note we have also suggested some practical steps to assist you in complying with the new rules.
   
Briefing Note - Prospectus Directive Update - July 2005 - Prospectus Directive Update Introductory text: The Public Offers of Securities Regulations 1995 ("POS Regulations") will be repealed and new Prospectus Rules implementing the EU Prospectus Directive will come into effect on 1 July 2005. We mentioned at the seminar on 4 May 2005 that we were working on a "dummy" prospectus in accordance with the requirements of the Prospectus Directive and submitted the same for comment by the UKLA. This proved an interesting exercise and highlighted a number of differences from the existing POS regime. We have compiled, and enclose, a document which summarises some of the key issues which arose in the drafting process, which we hope you will find useful. This briefing note was also published on the London Stock Exchange website.
